Handbook

This course explores the primary legislative rules and legal principles that regulate the operation of corporations, focusing on the legal responsibilities of leadership roles. Students will also be guided to develop legal reasoning, and in the application of legal principles to fact scenarios.

Topics include foundational principles such as legal personhood and limited liability, the rights of shareholders and other stakeholders, decision-making, the appointment and removal of office holders, duties and remedies. The course also examines the community and regulatory context in which corporations operate and contemporary issues in corporate governance.

The course will be delivered online through asynchronous modules, online forums and synchronous online classes.
